These Terms and Conditions ("Terms") govern your use of the Prox Express platform, applications, websites, and related services ("Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Description of Services
Prox Express provides a cloud-based, self-service software solution intended to provide organizations with badge printing, attendance tracking, event check-in, and related event management functions. Additional tools and modules may be offered or updated from time to time. The Services are provided as a Software-as-a-Service (SaaS) platform.
Self-Service Nature of the Platform
Prox Express is delivered as a self-service system. Customers are responsible for creating, managing, and configuring their events, badge layouts, printing rules, attendance workflows, and any operational models used within their organizations. Support, onboarding, and customization assistance may be available through separate support or professional services contracts, but such support is not automatically included with access to the Services.
Internet and System Requirements
A reliable and stable internet connection is required for the Services to operate correctly. You agree that you are solely responsible for securing and maintaining adequate connectivity and that any performance degradation, loss of features, or interruptions caused by insufficient internet service, network restrictions, firewall configurations, device incompatibility, or other environmental factors are not the responsibility of Prox Express.
Data Accuracy and Customer Responsibilities
The accuracy and legality of all data entered into Prox Express is solely the responsibility of the customer. This includes attendee information, event details, access rules, and any other operational data. You agree not to use the Services for unlawful purposes and to comply with all applicable regulations, laws and policies related to event and attendee data handling.
Indemnification and Hold Harmless
To the fullest extent permitted by law, you agree to indemnify, hold harmless, and defend Prox Express, including its owners, employees, partners, vendors, and affiliates, from and against any claims, losses, damages, liabilities, penalties, or expenses (including reasonable attorney fees) arising from or relating to your use or misuse of the Services, badge printing or access control decisions made by your organization, compliance with venue, legal, or security requirements, and any disputes or issues involving event attendees, employees, contractors, or other third parties. Prox Express shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of revenue, profit, or data.
Service Availability
Prox Express strives to maintain a high level of service availability but does not guarantee uninterrupted operation. Occasional downtime may occur due to maintenance, upgrades, network issues, or causes beyond the platform's control. Any desired uptime commitments, support response expectations, or enhanced service levels may be governed by a separate Service Level Agreement (SLA).
Payment and Subscription Terms
Access to the Services may require a paid subscription. Fees are billed based on the plan selected, and all subscription fees are non-refundable unless otherwise stated in a signed agreement. Failure to maintain payment may result in suspension or termination of platform access.
Termination
Prox Express may suspend or terminate access to the Services in circumstances including, but not limited to, violations of these Terms, unresolved billing issues, or malicious, unlawful, or abusive use of the platform. Upon termination, your access to the platform may be revoked, and data will be handled in accordance with the applicable data retention policies.
Intellectual Property
All trademarks, software code, features, interfaces, and related technologies remain the exclusive property of Prox Express. Using the Services does not grant transfer or ownership rights, and customers may not attempt to copy, reverse engineer, or reproduce system components.
Privacy and Data Protection
Use of the Services is also governed by the Prox Express Privacy Policy, which explains the collection, usage, storage, and processing of data. Customers are responsible for informing their staff, contractors, and event participants of relevant privacy terms applicable to their use of the platform.
Changes to Terms
Prox Express reserves the right to update, modify, or replace these Terms at any time. Changes become effective when posted, and continued use of the Services following any modification constitutes acceptance of the revised Terms.
Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the state of Nevada which Prox Express is legally registered, without regard to conflict-of-law principles.
Acceptance of Terms
By using Prox Express, you acknowledge that you have read, understood, and agree to these Terms & Conditions and that Prox Express is to be held harmless as described above.
